SHNOUP TERMS & CONDITIONS

1. About These Terms

These Terms & Conditions govern your access to and use of the SHNOUP website, mobile applications, platform, services and associated features ("SHNOUP").

SHNOUP is operated by:

Throughout these Terms, "SHNOUP", "we", "us" and "our" refer to Brags & Partners Ltd.

By accessing SHNOUP, creating an account or using our services, you agree to these Terms & Conditions together with our Terms of Service, Privacy Policy and any other policies that apply to your use of SHNOUP.

If you do not agree, you should not use SHNOUP.


PART A – SHNOUP USERS

2. What SHNOUP Is

SHNOUP is a discovery platform that enables users to discover products, services, businesses, organisations, offers and other content through short-form videos and other digital content.

SHNOUP may provide features including:

  • AI-powered search and discovery;

  • personalised video feeds;

  • voice search;

  • category browsing;

  • location-based discovery;

  • Wishlists;

  • Baskets;

  • Saved Sellers;

  • SHNOUPON promotional offers;

  • comments and other interactions;

  • links to third-party websites; and

  • other discovery and platform features.

SHNOUP is primarily a discovery and promotional platform.

Unless expressly stated otherwise, SHNOUP does not itself manufacture, supply, fulfil or sell the products or services promoted by independent businesses through the platform.


3. Eligibility and User Accounts

You must provide accurate information when creating and maintaining a SHNOUP account.

You are responsible for:

  • maintaining the security of your account;

  • keeping your login information secure;

  • ensuring information associated with your account remains accurate; and

  • activity carried out through your account where reasonably attributable to you.

You must notify SHNOUP promptly if you believe your account has been accessed or used without authorisation.

We may introduce additional eligibility or age requirements where required by law or appropriate for particular features.


4. AI Search and Recommendations

SHNOUP uses automated technology and artificial intelligence to help users discover relevant content.

Users may search using natural language, keywords, voice search, categories, location and other criteria.

SHNOUP may consider information including:

  • search queries;

  • video titles and descriptions;

  • keywords and key phrases;

  • categories;

  • business and brand information;

  • location;

  • price information;

  • previous searches;

  • viewing activity;

  • Wishlist and Basket activity;

  • Saved Sellers;

  • interactions with content; and

  • other relevant signals.

AI-generated search results and recommendations may not always be complete, accurate or perfectly relevant.

SHNOUP does not guarantee that AI search will identify every relevant product, service or business or that recommendations will always match a user's requirements.

Users should independently check important information before making purchasing or other decisions.


5. Video Discovery, Wishlist and Basket

SHNOUP allows users to interact with videos and other content.

Features may include:

Swipe Right – Add to Basket

Swipe Left – Save to Wishlist

The SHNOUP Basket is a discovery and saving feature unless expressly stated otherwise.

Adding something to a SHNOUP Basket does not itself constitute a purchase or create a sales contract with SHNOUP.

Similarly, saving content to a Wishlist does not reserve, purchase or guarantee availability of any product, service or offer.


6. Third-Party Products and Services

Products, services and offers displayed through SHNOUP are generally provided by independent businesses.

The relevant business is responsible for information it provides concerning its:

  • products;

  • services;

  • prices;

  • availability;

  • descriptions;

  • brands;

  • promotions;

  • warranties;

  • delivery;

  • returns;

  • cancellations;

  • refunds; and

  • other commercial terms.

Where SHNOUP directs you to an external website, app, booking system, store or other destination, any transaction you subsequently enter into is generally between you and the relevant third-party business.

You should review the third party's own terms, privacy policy, returns policy and other relevant information before completing a transaction.

Nothing in these Terms excludes or limits any legal responsibility that SHNOUP cannot lawfully exclude.


7. No SHNOUP Endorsement

The appearance of a business, product, service, brand, organisation, video or offer on SHNOUP does not automatically constitute an endorsement, recommendation, certification or guarantee by SHNOUP.

SHNOUP may review businesses before allowing them to access certain platform features, but such review does not constitute a guarantee of that business or of its products or services.

Users remain responsible for making their own purchasing and other decisions.


8. SHNOUPON Offers

Businesses may provide promotional codes or offers through SHNOUP known as SHNOUPONs.

Where available, users may copy a SHNOUPON code and use it with the relevant business.

Unless expressly stated otherwise, the business providing the SHNOUPON is responsible for:

  • the offer;

  • its description;

  • eligibility;

  • availability;

  • expiry date;

  • discount;

  • exclusions;

  • redemption; and

  • fulfilment.

SHNOUP does not guarantee that a particular SHNOUPON will remain available or be accepted where an offer has expired, been withdrawn or its conditions have not been met.


9. Reviews and External Information

Businesses may provide links to third-party review websites or other external information.

SHNOUP does not control third-party review platforms and does not guarantee the accuracy, completeness or authenticity of information appearing on external websites.

Users should use their own judgement when considering reviews or other third-party information.


10. Location Services

SHNOUP may use location information to provide:

  • nearby businesses;

  • local recommendations;

  • distance calculations;

  • radius searches; and

  • location-sensitive AI results.

Location functionality depends on the permissions and information provided by the user's device.

Users may disable location permissions through their device settings.

SHNOUP should remain usable without location services, although some location-based functionality may be limited.


PART B – SHNOUP BUSINESS

11. SHNOUP Business

SHNOUP Business allows eligible businesses and organisations to promote products, services and other permitted content through SHNOUP.

Businesses may be provided with features including:

  • public business profiles;

  • SHNOUP video publishing;

  • approved brand information;

  • generic/unbranded product or service promotion;

  • destination links;

  • SHNOUPONs;

  • analytics;

  • comments and replies;

  • promotional campaigns;

  • business dashboards;

  • profile URLs;

  • audio, music and voiceover tools;

  • AI discovery functionality; and

  • other business features introduced by SHNOUP.

Available functionality may change as SHNOUP develops.


12. SHNOUP Business Applications

Creating a SHNOUP Business account is subject to application and approval.

Payment of a membership fee does not guarantee approval.

Brags & Partners Ltd reserves the right, acting reasonably and in accordance with applicable law, to approve or decline SHNOUP Business applications at its discretion. We are not obliged to provide detailed reasons for an application decision except where required by law.

If an application is declined after payment has been taken, the membership payment will be refunded in full.

SHNOUP may request additional information where reasonably necessary to assess an application, confirm business information, investigate suspected fraud or satisfy legal or regulatory requirements.


13. Business Information

SHNOUP Business applicants must provide accurate and current information requested during registration.

This may include:

  • contact information;

  • company or trading name;

  • business type;

  • company registration information;

  • company location;

  • business address;

  • VAT or tax registration information;

  • brands;

  • trademarks;

  • usernames;

  • websites;

  • destination links; and

  • other relevant business information.

Businesses are responsible for keeping their information accurate and up to date.


14. Business Usernames and Profiles

Each SHNOUP Business may be required to select a unique username.

Subject to availability and SHNOUP's username rules, the username may form part of the business's public SHNOUP profile URL.

SHNOUP may refuse, reserve, modify or require the modification of usernames where reasonably necessary, including where a username:

  • infringes intellectual property rights;

  • impersonates another person or organisation;

  • is misleading;

  • contains prohibited or inappropriate wording;

  • creates security concerns; or

  • conflicts with SHNOUP's platform or system requirements.


15. Business Responsibility for Content

SHNOUP Businesses are responsible for all content they publish or provide through SHNOUP.

This includes:

  • videos;

  • images;

  • audio;

  • music;

  • voiceovers;

  • descriptions;

  • keywords;

  • key phrases;

  • brands;

  • trademarks;

  • prices;

  • destination links;

  • SHNOUPONs;

  • claims;

  • comments;

  • replies; and

  • other promotional information.

Businesses must ensure their content is accurate, lawful and not misleading.


16. Rights to Products, Services and Brands

A SHNOUP Business must have the legal right and authority to advertise, promote or sell the products, services and brands it publishes through SHNOUP.

Businesses must not:

  • falsely claim to own a trademark;

  • falsely claim authorisation from a brand;

  • promote counterfeit products;

  • infringe intellectual property rights;

  • impersonate another business;

  • use another party's branding without appropriate rights; or

  • knowingly provide false ownership or authorisation information.

SHNOUP may request evidence of relevant rights or authorisation.


17. Generic and Unbranded Products or Services

Businesses may promote legitimate generic or unbranded products and services where permitted.

Where a business indicates that it is not promoting a specific approved brand, SHNOUP may display the relevant content as Generic or another appropriate designation.

Businesses remain responsible for ensuring that generic or unbranded content does not infringe another party's intellectual property rights.


18. Destination Links

SHNOUP Businesses may be required to provide a valid destination link for every SHNOUP video published.

The business is responsible for ensuring that:

  • the link is accurate;

  • the destination is lawful;

  • the destination relates to the promoted content;

  • the link remains operational;

  • the destination does not contain malicious or deceptive content; and

  • users are not deliberately redirected to misleading destinations.

SHNOUP may remove or disable links that breach these requirements.


19. Music, Audio and Voiceovers

Businesses may be able to add music, uploaded audio and/or voiceovers to SHNOUP videos.

Where SHNOUP provides music described as royalty-free or commercially licensed, its use remains subject to any applicable licence terms communicated through the platform.

Where a business uploads its own music or audio, the business confirms that it owns or has obtained all necessary rights and permissions to use that audio commercially and to publish it through SHNOUP.

Businesses are responsible for claims arising from audio they independently upload or provide.


20. Comments and Business Interaction

Businesses may be permitted to reply to comments on their own SHNOUP videos.

Businesses must communicate professionally and must not publish unlawful, abusive, discriminatory, threatening, fraudulent, misleading or otherwise prohibited content.

Businesses may report inappropriate comments to SHNOUP.

SHNOUP may moderate or remove content where reasonably necessary to operate and protect the platform or comply with legal obligations.


PART C – SHNOUP BUSINESS MEMBERSHIP

21. Membership Fees

The introductory SHNOUP Business Founding Business Offer is:

£150 GBP for the first year, plus any applicable taxes.

The amount payable before completing registration will be displayed at checkout.

SHNOUP Business is an annual membership.


22. Taxes and International Businesses

SHNOUP Business may be available to businesses in multiple countries.

Applicable VAT, sales tax or other taxes may depend on factors including:

  • business location;

  • tax registration status;

  • VAT/tax number;

  • VAT/tax registered location; and

  • applicable tax laws.

SHNOUP may use Stripe and other service providers to assist with payment processing and tax calculation.

The applicable membership price, taxes and total payable will be displayed before payment.

Businesses are responsible for providing accurate tax and location information.


23. Annual Renewal

Unless cancelled in accordance with these Terms, SHNOUP Business memberships automatically renew annually.

Renewal will be charged at the prevailing annual SHNOUP Business membership fee at the time of renewal, plus any applicable taxes.

The annual membership price may change.

Where required by applicable law, SHNOUP will provide appropriate notice of material price changes and any applicable rights arising from those changes.

Businesses should cancel at least 7 days before their renewal date if they do not wish the membership to renew.

SHNOUP may send a renewal reminder before the renewal date.


24. Cancellation

Businesses may cancel their SHNOUP Business membership in accordance with the cancellation functionality or instructions made available through SHNOUP.

Cancellation prevents the next renewal charge but does not normally result in a refund of membership fees already paid, except:

  • where an initial SHNOUP Business application is declined;

  • where required by applicable law; or

  • where SHNOUP expressly agrees otherwise.

Access may continue until the end of the paid membership period unless otherwise stated.


25. Suspension and Termination of Business Accounts

SHNOUP may suspend, restrict or terminate a SHNOUP Business account where reasonably necessary, including where:

  • these Terms are breached;

  • SHNOUP's Terms of Service or platform policies are breached;

  • eligibility requirements are no longer satisfied;

  • false or misleading information has been supplied;

  • intellectual property rights are infringed;

  • fraudulent, unlawful or harmful activity is suspected;

  • payment obligations are not met;

  • users or the platform may be exposed to material risk; or

  • suspension or termination is required by law or a competent authority.

Where appropriate and legally required, SHNOUP may provide notice or an opportunity to remedy an issue.


PART D – CONTENT AND PLATFORM RULES

26. Prohibited Content and Conduct

Users and businesses must not use SHNOUP to publish, promote or facilitate content or activity that is unlawful or prohibited by SHNOUP's policies.

This includes content or conduct involving, where applicable:

  • fraud or scams;

  • counterfeit goods;

  • intellectual property infringement;

  • malicious software;

  • unlawful discrimination;

  • threats or harassment;

  • illegal products or services;

  • deceptive advertising;

  • impersonation;

  • misleading commercial claims;

  • unlawful sexual content;

  • exploitation;

  • terrorist or extremist content;

  • illegal drugs;

  • unlawful weapons; or

  • other content prohibited by law or SHNOUP policy.

SHNOUP may introduce additional content standards and restricted-product policies.


27. Reporting Content

Users may report content, businesses, comments or other activity they believe breaches SHNOUP's rules.

SHNOUP may investigate reports and take appropriate action.

Possible action may include:

  • removing content;

  • restricting visibility;

  • disabling links;

  • issuing warnings;

  • suspending accounts;

  • terminating accounts; or

  • reporting matters to relevant authorities where required or appropriate.


28. Licence to SHNOUP

When you upload or publish content through SHNOUP, you retain ownership of any intellectual property rights you legally hold in that content.

You grant Brags & Partners Ltd a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, display, distribute and technically adapt that content to the extent reasonably necessary to:

  • operate SHNOUP;

  • display the content to users;

  • provide search and recommendations;

  • promote and distribute SHNOUP content through platform functionality;

  • provide platform features; and

  • maintain, secure and improve the service.

This licence does not transfer ownership of your content to SHNOUP.


29. Intellectual Property in SHNOUP

SHNOUP and its associated software, design, branding, logos, platform functionality, databases and other proprietary materials are owned by or licensed to Brags & Partners Ltd unless otherwise stated.

You must not copy, reproduce, reverse engineer, commercially exploit or misuse SHNOUP's proprietary materials except where permitted by law or with our written permission.


PART E – PLATFORM OPERATION

30. Availability of SHNOUP

We aim to provide a reliable service but cannot guarantee that SHNOUP will always be available without interruption.

The platform may occasionally be unavailable due to:

  • maintenance;

  • upgrades;

  • technical faults;

  • security incidents;

  • third-party service failures;

  • internet or network problems; or

  • circumstances outside our reasonable control.

We may modify or discontinue features where reasonably necessary to develop, maintain or protect SHNOUP.


31. Third-Party Services

SHNOUP may integrate with or link to third-party services including payment providers, websites, maps, location providers, review platforms and other technology providers.

Those services may operate under their own terms and privacy policies.

SHNOUP is not responsible for the independent operation of third-party services, except to the extent responsibility cannot lawfully be excluded.


32. Payments Through Stripe

SHNOUP Business payments may be processed using Stripe or another authorised payment provider.

Payment processing may therefore also be subject to the payment provider's applicable terms and policies.

SHNOUP does not require businesses or users to provide payment card credentials directly to other SHNOUP users.


PART F – RESPONSIBILITY AND LIABILITY

33. SHNOUP's Role

SHNOUP provides technology that helps users discover independent businesses and their content.

Unless expressly stated otherwise, Brags & Partners Ltd is not a party to contracts subsequently entered into between users and independent businesses through third-party destinations.

Businesses remain responsible for the products, services, content and offers they provide.


34. Our Responsibility

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

This includes liability that cannot legally be excluded or restricted.

Subject to applicable law, SHNOUP is not responsible for losses caused solely by:

  • independent businesses;

  • inaccurate information supplied by a third party;

  • external websites or services;

  • transactions entered into directly with third parties;

  • users acting contrary to these Terms; or

  • circumstances outside SHNOUP's reasonable control.

For business users, any additional limitations of liability contained in applicable SHNOUP Business terms will apply only to the extent permitted by law.


35. Your Statutory Rights

Nothing in these Terms affects any statutory rights that cannot legally be excluded or restricted.


PART G – PRIVACY AND COMMUNICATIONS

36. Privacy

Personal information is processed in accordance with the applicable Brags & Partners Ltd Privacy Policy and relevant data protection law.

The Privacy Policy explains how information may be collected, used, stored and shared.


37. Communications

SHNOUP may send service-related communications including:

  • OTP/login codes;

  • security messages;

  • account notifications;

  • application updates;

  • support responses;

  • membership information;

  • payment information;

  • renewal reminders; and

  • important platform notices.

Customer-facing SHNOUP communications may be sent from:

SHNOUP Support

Marketing communications will be handled in accordance with applicable law and user preferences.


PART H – GENERAL TERMS

38. Changes to These Terms

We may update these Terms from time to time to reflect:

  • changes to SHNOUP;

  • new features;

  • legal or regulatory requirements;

  • security requirements; or

  • changes to our business.

Where a change materially affects users' or businesses' rights or obligations, we will provide notice where required by applicable law.

The latest version will be published on SHNOUP with its effective or last-updated date.


39. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.


40. No Waiver

If SHNOUP does not immediately enforce a provision of these Terms, this does not necessarily mean that SHNOUP has waived its right to enforce that provision later.


41. Transfer

You may not transfer your rights or obligations under these Terms without our consent where such consent is legally permitted to be required.

Brags & Partners Ltd may transfer its rights and obligations in connection with a sale, restructuring or transfer of the SHNOUP business, provided this does not unlawfully reduce your rights.


42. Governing Law

These Terms are governed by the laws of England and Wales, subject to any mandatory legal protections that apply to users in their country of residence.

Nothing in this section removes any rights a consumer may have under applicable mandatory law regarding where proceedings may be brought.
